Welcome to the website of The Village Co Early Learning Centre (“we”, “us”, “our”). By using this website (the “Site”) and/or registering for services with The Village Co Early Learning Centre, you agree to comply with and be bound by these Terms & Conditions (“Terms”). If you do not agree with any part of these Terms, you must not use the Site or engage our services.

1. Definitions

“Services” means the early learning and childcare services provided by The Village Co Early Learning Centre at the address listed on our Site.
“User”, “you”, “your” means any person accessing or using the Site or engaging our Services.
“Content” means any text, images, audio, video, documents, or other material on the Site.

2. Use of the Site

2.1 You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of, restrict or inhibit anyone else’s use or enjoyment of the Site.

2.2 You must not:

misuse the Site by knowingly introducing viruses, trojans, worms, logic bombs or other malicious or technologically harmful material;
attempt to gain unauthorised access to the Site, the server on which the Site is stored, or any server, computer or database connected to the Site;
attack the Site via a denial-of-service or distributed denial-of-service (DDoS) attack.
2.3 We reserve the right to withdraw or amend the Site, and any service we provide via the Site, without notice in our sole discretion.

3. Registration / Enrolment for Services
3.1 If you register for our Services via the Site, you agree to provide accurate, current and complete information about yourself and/or your child(ren) as required for enrolment.
3.2 You agree to maintain and update your information so that it remains accurate, current and complete.
3.3 We reserve the right to refuse enrolment or terminate service where we reasonably believe the information provided is false, inaccurate or incomplete, or where continued service is not appropriate.

4. Payment, Fees & Refunds
4.1 Enrolment in our Services is subject to payment of applicable fees and charges. You agree to pay all fees by the due date, and understand that we may charge late fees or cease services for non-payment.
4.2 Fees may change from time to time; we will give you reasonable notice of any fee changes.
4.3 Refunds of fees are subject to our refund policy (which may be separately published). Unless otherwise stated in writing, fees paid are non-refundable once the service has commenced.

5. Intellectual Property
5.1 Unless otherwise indicated, all Content on the Site (including text, graphics, logos, icons, images, audio clips, video clips, data compilations) is the property of The Village Co Early Learning Centre (or its licensors) and is protected by New Zealand and international copyright and other intellectual property laws.
5.2 You may view, download and print Content from the Site for your own personal, non-commercial use only. Any other use of the Content — including reproduction, modification, transmission, distribution, republishing — is strictly prohibited without our prior written consent.
5.3 All trade marks, logos and service marks displayed on the Site are our property (or that of our licensors) and may not be used without our prior written permission.

6. Privacy & Data Protection
6.1 We collect and process personal information in accordance with our Privacy Policy. By using the Site and/or enrolling your child, you consent to our collection, storage and use of your personal information as described in our Privacy Policy.
6.2 You must not post or transmit through the Site any information about other individuals unless you have their consent.
6.3 We take reasonable technical and organisational measures to protect personal information. However, we cannot guarantee absolute security: transmission of information via the internet is inherently insecure and any transmission is at your own risk.

7. Third-Party Links
7.1 The Site may contain links to other websites operated by third parties. These links are provided for your convenience only. We do not control those sites and are not responsible for their content or practices.
7.2 Accessing any linked sites is at your own risk, and you should review the terms and privacy policy of any site you visit.

8. Disclaimers & Limitation of Liability
8.1 The Site and its Content are provided “as is” and “as available”, without any warranty of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8.2 To the maximum extent permitted by law, The Village Co Early Learning Centre will not be liable for any loss or damage (including indirect, incidental, special or consequential loss) arising in connection with your use of the Site or services, or reliance on information found on the Site, even if we have been advised of the possibility of such damage.
8.3 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under New Zealand law.

9. Services Terms & Conditions
9.1 Our Services (childcare, early learning) are subject to our separate Service Agreement (which you will sign in addition to these Terms) covering items such as: hours of attendance, staffing, curriculum, health and safety policies, holidays/closures, parent responsibilities, behaviour expectations, termination of attendance, etc.
9.2 You acknowledge that children’s attendance and participation is subject to meeting all enrolment requirements, including health checks, documentation, immunisations (where required by law or policy), and any other conditions outlined in the Service Agreement or our Policies.
9.3 You agree to promptly notify us of any changes in your child’s health, circumstances, or contact information that may affect their attendance or safety.
9.4 We reserve the right to suspend or terminate your child’s attendance if you breach the Service Agreement or our policies (for example non-payment, repeated late collection, behaviour management issues, etc.)

10. Termination & Suspension
10.1 We may terminate or suspend your access to the Site (or any portion thereof) at any time, with or without notice, for any reason including if you breach these Terms.
10.2 Either party may terminate the Service Agreement (for childcare/early learning) in accordance with the terms set out in that agreement.
10.3 On termination of services, you must settle all outstanding fees and return any property belonging to us. Any personal information held by us may be retained or destroyed in accordance with our Privacy Policy and legal obligations.

11. Changes to Terms
We may revise these Terms from time to time. The revised Terms will take effect from the date of publication on the Site. You should check the Site regularly to review the current Terms. Your continued use of the Site or our Services after such changes constitutes your acceptance of the revised Terms.

12. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of New Zealand. You agree to submit to the non-exclusive jurisdiction of the courts of New Zealand.

13. General
13.1 If any provision of these Terms is found by a court or other authority of competent jurisdiction to be invalid, illegal or unenforceable, such provision shall be removed or limited to the minimum extent necessary so that the remainder of these Terms will continue in full force and effect.
13.2 Our failure to enforce any right or provision under these Terms does not constitute a waiver of that right or provision.
13.3 These Terms, together with our Privacy Policy and any Service Agreement and other policies we publish on the Site, constitute the entire agreement between you and The Village Co Early Learning Centre in respect of your use of the Site and Services, and supersede all prior communications or agreements with you.
